Choosing the right structure matters before you file anything: a private limited company suits founders raising outside investment, an LLP suits professional or partnership-style businesses wanting limited liability without full corporate compliance, and a One Person Company suits solo founders who still want the liability shield of a company.

Incorporation itself runs through the Ministry of Corporate Affairs' SPICe+ form, which bundles name reservation, incorporation, PAN, TAN and (optionally) GST and EPFO/ESIC registration into a single filing.

FAQ

Company Registration — common questions

Typically 7–15 working days from document collection to Certificate of Incorporation, assuming the proposed name is approved on the first attempt.

A private limited company can issue equity to raise venture funding and has a more familiar structure for investors; an LLP has lower compliance overhead but cannot easily issue equity shares.

You need a registered office address in India (which can be a residential address) with proof and, if rented, a no-objection certificate — it doesn't need to be commercial premises.

At minimum: filing INC-20A (commencement of business), appointing an auditor within 30 days, and annual filings (AOC-4, MGT-7) each financial year.
